BROKER/AGENT PARTICIPATING GUIDELINES:

1) Broker ackowledges that there is a 10% buyer's premium added to the winning high bid

to determine the final sales price. Thus, the final sales price is the sum of the winning high

bid amount, plus a 10% buyers premium.

A commission of 4% of the winning high bid amount (without consideration of the buyer's

premium) will be paid to the properly registered broker/agent of the winning bidder provided

that:

a) Broker/agent's client(s)/ (bidder(s))submits an opening bid in writing to Ulmer Real Estate & Auction Company Real Estate Auctions prior to the time of auction.

b) Broker/agent AND client(s) (bidder(s)) have completed,signed and returned

Broker/agent registration form and bidder/client registration form, and submitted completed

forms to Ulmer Real Estate & Auction Company no later than midnight of the night preceeding the auction.

c) Registration forms may be sent via mail to : Ulmer Real Estate & Auction Company, P.O. Box 1522

 Payson Arizona 85547 or via fax to : (928) 474-5076. Forms sent to

any other address or fax other than those noted above will not be honored. Ulmer Real Estate & Auction Co. shall

have no responsibility for forms not received in a timely fashion no matter the reason.

Ulmer Real Estate & Auction Co. shall have no liability for failure to receive forms and/or process forms unless

such shall have been resolved to its satisfaction by the commencement of the actual auction.

Ulmer Real Estate & Auction Co.  reserves the right to refuse to allow anyone or any entity in noncompliance with

its rules, procedures, and guidelines, from bidding in any auction.

d) Broker/agent must attend and sign-in at the auction with client unless previously

arranged with Auctioneer.

e) Broker/agent is currently licensed in Arizona

f) Broker/agent’s client must close on the property and must pay the total contract price

for the property in U.S. funds.

g) Broker/agent complies with all guidelines as set forth in this document.

h) Property is to be sold ‘absolute’ to highest bidder on auction day.

i) Winning Bidder(s)/Client(s) must submit a non-refundable deposit equal to 10% of

the winning high bid,on the day of auction. Personal checks are accepted.

j) Brokers client, prior to auctions, submits written loan pre-approval or written proof of

funds in an amount equal to or greater than total purchase price of property if client is winning

bidder.

2) Broker/agent, by placing their signature below, certifies, agrees and acknowledges the

following:

a) That this form consists of four pages and that broker/agent and client have received,

read and understand all four pages.

b) Broker/agent will hold harmless and indemnify Ulmer Real Estate & Auction Co. LLC from any and all claims with regard to commissions and representations

of any kind.

c) That any commission due will be payable upon closing and will be disbursed by the

escrow agent.

d) That the Broker/agent will not claim any exceptions to the procedures outlined in this

document unless made in writing and signed by the Seller, Ulmer Real Estate & Auction Co,

Broker/agent and Broker/agent's client.

e) Only written registrations duly accepted will qualify a Broker/agent for commissions.

f) That no Broker/agent shall receive any commission without the properly registered

winning bidders signature on the Broker Registration Form.

g) Only the first registration of a prospective bidder/client will be accepted and honored.

Any subsequent registration will be deemed null and void if the bidder/client has already

registered with another Broker/agent.

h) Broker/agent is duly licensed and entitled to collect commissions in the state of

Arizona

3) All bids must be submitted in US Dollars.

BROKER’S CLIENT(s) /(BIDDER(s)), BY PLACING THEIR SIGNATURE BELOW,

CERTIFIES, AGREES, AND ACKNOWLEDGES THAT:

Bidder(s)/buyer(s) has received, accepted and excuted the appropriate disclosure packet

receipt to confirm such acceptance for each and every item of the property disclosure package

for this property.

BOTH BROKER/AGENT AND ALL CLIENT(S)/BIDDER(S) BY SIGNING THIS AGEEMENT,

Ulmer Real Estate & Auction Co.  is an auction agent only. Broker/agent and all

client/bidders agree to indemnify and hold harmless  Ulmer Real Estate & Auction Co. regarding all aspects of this transaction .

regarding any property offered at auction. _______________________________________ is the listing

fails to transfer title or to honor the sales contract in any way, neither Ulmer Real Estate & Auction Co, nor it’s principals or employees will

be held responsible or liable in any way. By placing his or her signature below, Broker/agent represents and warrants

that in the event of any misrepresentation or breach of any obligation by seller, both Broker/agent, and his or her

client will look solely to seller for any compensation and that Broker/agent will hold Ulmer Real Estate & Auction Co. harmless from any

breach of this representation and warranty, including the reimbursement of any attorneys' fees and costs incurred in

effectuating compliance with such representation and warranty.
